Terms and Condition

FREELANCER TERMS & CONDITIONS

1. Pricing and Digital Factory Markup

1.1. Freelancers determine and quote their own rates for the services they offer through Digital Factory.

1.2. The amount quoted by the Freelancer represents the Freelancer’s requested fee for completing the agreed project.

1.3. Digital Factory may add a markup to the Freelancer’s quoted fee at its discretion. The markup may vary according to the project, service, client requirements, Platform policies and Digital Factory’s commercial model.

1.4. The final amount charged to the client may therefore be higher than the amount quoted by the Freelancer.

1.5. The Freelancer’s quoted fee will not be reduced solely because Digital Factory applies a markup to the client-facing price.

1.6. Digital Factory may revise its markup structure, pricing policies or commercial model from time to time without changing the Freelancer’s agreed quoted fee for an already accepted project, unless otherwise agreed.

2. Freelancer Payment

2.1. The Freelancer is entitled to receive the amount quoted and agreed for the accepted project, subject to any applicable bonuses, deductions, refunds or other adjustments under these Terms.

2.2. For example, where a Freelancer quotes USD 100 for a project, the Freelancer’s agreed project fee is USD 100. Digital Factory may apply an additional markup to the client-facing price. If Digital Factory applies a USD 40 markup, the client-facing price would be USD 140.

2.3. The Digital Factory markup is separate from the Freelancer’s quoted fee and is determined by Digital Factory in accordance with its applicable pricing policy.

2.4. Digital Factory may revise its markup percentage or commercial model from time to time. Such changes will not retroactively change the quoted fee of a project that has already been accepted by the Freelancer, unless otherwise agreed.

2.5. Freelancer payments are released after completion of the project, subject to the applicable project requirements and any deductions or adjustments under these Terms.

3. On-Time Delivery Bonus

3.1. Digital Factory may provide the Freelancer with a 10% bonus where both of the following conditions are met:

  • The project is delivered on or before the agreed delivery deadline; and
  • The client provides a 5-star rating for the completed project.

3.2. The 10% bonus is paid by Digital Factory to the eligible Freelancer.

3.3. Digital Factory may review project records before approving the bonus.

3.4. A Freelancer must not manipulate, pressure or otherwise improperly influence a client to provide a particular rating.

4. Late Delivery

4.1. Freelancers are expected to complete projects within the agreed delivery time.

4.2. Where a delay is caused by the Freelancer, a 10% deduction per day of delay will be applied to the Freelancer’s agreed project fee.

4.3. A delay caused by the client will not result in the 10% deduction and will not be counted as a Freelancer delay.

4.4. Examples of client-caused delays may include delayed feedback, approvals, required information, content, assets or other materials necessary for the Freelancer to complete the project.

4.5. Freelancers should notify Digital Factory as soon as possible where a client-related issue is preventing progress.

5. Project Completion and Payment Release

5.1. The Freelancer’s agreed project fee is released after the project has been completed in accordance with the agreed project requirements.

5.2. Where a Freelancer does not complete an accepted project, the Freelancer’s payment will not automatically be released.

5.3. Digital Factory may use project records, project-management systems, submitted deliverables, communication records and other available information to assess the level of project completion.

5.4. Digital Factory may use automated or technology-assisted systems in the future to support project-progress and performance assessment.

6. Changes to Pricing and Commercial Policies

6.1. Digital Factory may revise its markup, pricing structure, payment processes, bonuses, penalties and other commercial policies from time to time.

6.2. Any updated policy will apply to future projects and transactions after the applicable effective date.

6.3. Unless otherwise agreed, a change to Digital Factory’s commercial policies will not retroactively alter the Freelancer’s agreed fee for a project that has already been accepted.
